Terms of Service

1. Agreement to Legal Terms
These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you" or "User") and SAIMING INC., a corporation organized under the laws of the State of Wyoming, United States of America, with its principal office at 30 N Gould St Ste R, Sheridan, WY 82801, USA ("SAIMING," "Company," "we," "us," or "our"). These Terms govern your access to and use of saiming.com and its subdomains (the "Website") and the SAIMING products and services purchased, activated, managed, or accessed through the Website, including Data Plan purchases and subscriptions, PAYG Wallet top-ups, account functions, promotions and customer support (collectively, the "Services"). Use of the SAIMING mobile application is additionally governed by the App Terms of Use and EULA available in the App. Website information about Numbers, calls and SMS is informational and directs you to the App; those features are not purchased or operated on the Website. Their availability and use are governed by the App terms and country-specific restrictions.
By clicking "I Agree," creating an account, making a purchase, or otherwise accessing or using the Website or Services through the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms, the Website Privacy Policy, Refund Policy, Cookie Policy, Promotion and Referral Program Terms, and any plan- or campaign-specific terms presented to you. If you do not agree, do not use the affected Services.
We may modify these Terms from time to time. The Revision Date above identifies this version of the Terms. The applicable Effective Date will be stated when the approved Terms are published or presented for acceptance. We will provide notice of material changes by posting the updated Terms on the Website and, where required or appropriate, by email or account notice. Changes will take effect on the date stated in the notice or updated Terms, subject to any notice period required by applicable law. Continued use after the effective date constitutes acceptance to the extent permitted by law.
The Services are intended for users who are at least eighteen (18) years of age. Persons under the age of 18 are not permitted to register for or use the Services.
IMPORTANT NOTICE FOR U.S. CONSUMERS: Section 16 contains individual arbitration provisions, exceptions and a thirty-day opt-out. Mandatory consumer court rights and claims that cannot lawfully be arbitrated remain protected. The arbitration and related waivers do not apply to consumers outside the United States.
2. Description of the Services
2.1 eSIM and Data Plans
SAIMING supplies a free eSIM profile for compatible, carrier-unlocked devices and recurring monthly and annual Data Plans for single-country, regional and global coverage. Available data allowances, destinations, validity and prices are displayed before purchase. We do not sell a separate one-time fixed-allowance Data Plan. PAYG is usage-based connectivity funded from the Wallet and is separate from a Data Plan. Subscriptions start on purchase. Monthly subscriptions renew on the corresponding calendar date of purchase, and annual subscriptions renew on the corresponding anniversary date. Both monthly and annual Data Plans receive a fresh allowance each calendar month on the purchase-date anniversary; unused allowance expires at each reset and does not carry over. If a month has no corresponding date, the reset or renewal occurs on its last day, returning to the original anniversary day in later months. The same rule applies to February 29 annual renewals. Billing and reset times use New York time (America/New_York), including daylight saving time, and the next reset and renewal are displayed in My Plans. When Data Plan allowance is exhausted, connectivity switches to PAYG only if you have enabled PAYG fallback and sufficient eligible Wallet funds are available; otherwise connectivity stops. For overlapping eligible plans, single-country allowance is used first, then regional allowance, then global allowance. Within the same coverage category, the allowance with the earliest expiry is used first. The eSIM profile is separate from the entitlement and can remain installed after a plan ends. Contact support for assistance with one free reinstallation, device transfer or replacement, subject to device compatibility and successful provisioning.
2.2 Wallet, Paid Balance, and Promotional Credit
The Wallet contains Paid Balance purchased with your money and separate Promotional Credit. Each can fund eligible Data Plans, PAYG, Number subscriptions, calls and SMS within the applicable channel and offer rules. Manual top-ups range from US$1 to US$10,000 per transaction; quick selections are US$1, US$5, US$20 and US$50. SAIMING does not impose a total Wallet balance ceiling, but lawful payment, fraud and sanctions controls still apply. Paid Balance is used before ordinary Promotional Credit. Referral Promotional Credit is an exception: when applied, its permitted discount is calculated first, and the remainder is paid using Paid Balance or an available payment method. Referral credit cannot cover more than 50% of a charge; see the Program Terms. Wallet funds are prepayments for Services, not a bank deposit or investment, earn no interest and cannot be transferred or cashed out except under the Refund Policy or mandatory law.
2.3 SAIMING Numbers (Virtual Numbers, Voice and Messaging)
The following describes App-only services and does not offer number purchases, calling, SMS, rate calculation or usage billing on the Website. Where available, you may subscribe to a virtual phone number (a "SAIMING Number") from one of the countries or regions offered in the Services. Depending on the number and destination, a SAIMING Number may support receiving calls from the public switched telephone network (PSTN), placing calls to ordinary mobile and landline numbers, and sending and receiving SMS messages through the App. For U.S. SAIMING Numbers, PSTN functionality is inbound-only: a U.S. SAIMING Number can receive supported PSTN calls and send and receive SMS messages, but cannot be used to originate calls to ordinary mobile or landline numbers. Outbound PSTN calling is likewise not available from within the United States on any SAIMING Number. The capabilities of each number are shown before you subscribe. A number subscription fee covers the number assignment unless the offer expressly states otherwise; calls and messages may be charged separately against your Wallet or an applicable plan at the rates shown before use. SAIMING Numbers are subject to the additional terms in Section 8, including country-specific regulatory requirements and the prohibition on emergency calling.
2.4 Service Availability
The Services are available only in the destinations, networks, and configurations shown on the Website or in the applicable service interface and may change from time to time. Coverage, network technology (for example, 4G/LTE or 5G), speed, call quality, message delivery, and feature availability depend on third-party connectivity providers, carriers, local network operators, your device, your location, and network conditions. We do not guarantee uninterrupted availability, a particular speed, or delivery by a particular network. SAIMING Numbers and voice-over-internet calling do not support emergency calls or emergency-services access. See Section 8.4.
The Services are not designed for fail-safe, mission-critical, or life-safety use, or for environments where service interruption could result in death, serious injury, or severe physical or environmental harm. SAIMING is not a substitute for a traditional primary telephone service and must not be relied upon for emergency communications. You must maintain an alternative means of contacting emergency services.
3. Eligibility and Account Registration
3.1 Eligibility
To use the Services you must (a) be at least eighteen (18) years of age, (b) have the legal capacity to enter into a binding contract, (c) not be located in, or a national or resident of, any country or territory subject to comprehensive U.S. government embargo, and (d) not be listed on any U.S. government list of prohibited or restricted parties.
3.2 Account
You may be required to create an account to use certain Services. You agree to provide true, accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for activities you authorize and for losses caused by your culpable failure to safeguard your credentials, subject to applicable law; you are not automatically liable for unauthorized activity or failures attributable to SAIMING or its providers. You must notify us immediately at cs@saiming.com of any unauthorized use of your account. We reserve the right to remove, reclaim, or change a username or account identifier if we determine, in our sole discretion, that it is inappropriate, misleading, or infringes the rights of others.
3.3 Identity Verification
Certain destinations, connectivity partners, or regulators require identity verification before an eSIM or phone number may be activated. You agree to provide any identification documents or information reasonably requested for this purpose. We may refuse, suspend, or terminate Services if verification is not completed or if we believe the information provided is inaccurate.
3.4 Device Compatibility
Before purchase, check that your device is compatible, carrier-unlocked and configured as instructed. This does not excuse inaccurate compatibility or coverage information supplied by SAIMING or restrict remedies for a service that does not conform to its description.
4. Purchases, Pricing, and Payment
4.1 Prices and Taxes
All SAIMING prices and Wallet balances are in United States dollars (USD). Displayed consumer prices include applicable taxes. SAIMING does not add an undisclosed service fee. Number subscriptions have no separate activation or monthly SMS-enablement fee; call and SMS usage remains separately chargeable at the disclosed consumer rate. Your bank or payment provider may independently apply currency conversion or other charges; these are not SAIMING fees.
4.2 Payment Methods
Payments are processed through Stripe using the methods actually enabled and displayed at checkout. Available options can include cards, Apple Pay, Google Pay, Alipay and WeChat Pay, subject to payment-method eligibility and transaction type. Only a method that supports an authorized recurring charge can fund automatic renewals or Auto-Reload. You authorize only the amounts and recurring terms you affirmatively accept. SAIMING does not store full card details.
4.3 Auto-Reload, Automatic Funding, and Recurring Subscriptions
Auto-Reload is optional and off by default. When you enable it in Wallet > Auto-Reload, you select a Paid Balance threshold of US$1, US$5 or US$10 and a fixed reload of US$5, US$20 or US$50 that exceeds that threshold. The initial selection is a US$5 threshold and US$20 reload, and no charge is authorized until you confirm. A reload occurs when Paid Balance falls below the selected threshold. Auto-Reload charges are limited to US$100 per New York calendar day and US$300 per New York calendar month. Only one reload may be processing at a time. A failed reload is not automatically retried; we notify you to review payment and retry or re-enable the setting. Disable Auto-Reload in Wallet > Auto-Reload at any time. Disabling it prevents new automatic charges; amounts already successfully charged remain subject to the Refund Policy. Verified and confirmed account deletion stops future SAIMING-managed renewals and Auto-Reload before deletion, including queued charge attempts.
Subscriptions renew automatically only with your affirmative authorization. Cancel through My Plans > Manage > Cancel Subscription on the Website for Website-managed Data Plans or in the App for the relevant subscription; cancellation stops future renewals and preserves the current paid term. You may also contact cs@saiming.com for assistance. A Data Plan upgrade takes effect immediately: the full new plan price is charged without proration and a new billing and allowance cycle begins. Unused old-plan entitlements remain available until their original expiry, subject to the allowance priority rules; upgrading replaces the old renewal instruction so the old plan does not renew again. A downgrade takes effect at the end of the current paid subscription term; an annual prepaid term is not shortened by a monthly allowance reset. Failed renewal suspends the affected service, with a 30-day recovery period. You may update payment and retry; no usable allowance is supplied for an unpaid period and no extra fee is charged for the suspension itself. We send annual renewal reminders starting one calendar month before renewal, and any further notices required by law. Price changes apply prospectively, with at least seven days notice and any longer or additional notice or consent required by applicable law. Notices identify the new price, effective date and cancellation method. Mandatory consumer rights prevail.
Renewal and price-change notices must also comply with any applicable local notice window, durable-confirmation, consent and cancellation requirements. The standard notice periods above do not displace those requirements.
4.4 Refunds, Cancellation and Statutory Rights
Except where expressly stated in our Refund Policy or required by applicable law, transactions are final and non-refundable, including subscription charges, Data Plans, Paid Balance top-ups, PAYG usage, SAIMING Number subscription fees, calls, and messages. Cancellation of a recurring subscription prevents future renewal but does not create a refund for the current billing period. Unused data, unused subscription time, and unused Paid Balance are not refundable or transferable except where required by law or where SAIMING terminates prepaid Services without cause as stated in these Terms.
4.5 Paid Balance and Promotional Credit
Paid Balance does not expire solely because your account is inactive and remains available while your account remains open and the applicable Services continue to be offered. Paid Balance is not redeemable for cash and remains non-refundable except where required by law or expressly stated in these Terms. Promotional Credit is separate from Paid Balance and expires according to the applicable promotion; unless campaign-specific terms state otherwise, Promotional Credit expires ninety (90) days after it is credited. Closing your account may result in loss of unused Paid Balance and Promotional Credit as described in Section 12 and our Account & Data Deletion Notice.
4.6 Subscription and PAYG Validity
The validity and data allowance of each subscription or plan are disclosed before purchase. Monthly and annual subscription periods begin on the purchase date and renew automatically unless cancelled. The data allowance, any reset schedule, and any carry-over rules are those shown for the plan at checkout or in the applicable account/service interface. PAYG has no fixed usage-expiry period under normal service conditions; Paid Balance remains available until consumed, subject to Section 4.5, continued service availability, account status, and applicable law. Deleting an eSIM profile from a device does not by itself cancel a subscription, close an account, or entitle you to a refund.
4.7 Pricing Changes and Errors
Changes to Services, plans, rates and prices are prospective and subject to the notice and consent rules in Section 4.3 and applicable law. Changes will not affect purchases already completed. We reserve the right to correct pricing or descriptive errors, and to cancel any order placed at an erroneous price, even after the order has been confirmed, in which case we will refund any amount charged for that order.
4.8 Order Limits
We reserve the right to refuse or cancel any order, and to limit quantities purchased per person, per account, per household, per device, or per payment method. We may prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors without our written authorization.
4.9 Chargebacks
Please contact cs@saiming.com about an incorrect charge so we can investigate. This does not require you to delay or waive a lawful bank or payment-network dispute. A good-faith dispute alone is not abuse. Any account restriction or recovery of disputed amounts and costs must be proportionate, supported and permitted by applicable law.
5. Promotional Rewards
From time to time we may offer discounts, Promotional Credit, referral rewards, promo codes, or other incentives (collectively, "Rewards"). Rewards are governed by our Promotion and Referral Program Terms and any campaign-specific terms. Unless a campaign expressly states another period, Rewards expire ninety (90) days after they are credited, have no cash value, are non-transferable, and may be subject to product, destination, minimum-purchase, or other eligibility restrictions disclosed with the offer. We may modify or withdraw future offers at any time, subject to applicable law; Rewards earned through a completed Qualifying Action remain governed by the offer in effect when that action was completed, including where crediting is delayed unless correction is required for fraud, error, abuse, or law.
6. Intellectual Property Rights
6.1 Our Content
The Services, including all source code, databases, functionality, software, Website and service-interface designs, audio, video, text, photographs, graphics, and other content (the "Content"), and the trademarks, service marks, and logos contained therein (the "Marks"), including "SAIMING" and the SAIMING logo, are owned by or licensed to SAIMING and are protected by copyright, trademark, and other intellectual property laws of the United States and other jurisdictions. Nothing in these Terms transfers any ownership of the Content or Marks to you.
6.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use. Except as expressly permitted, you may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any part of the Services, Content, or Marks for any commercial purpose without our prior written permission. A SAIMING eSIM may be active on only one device at a time; App installation and account access on multiple devices do not duplicate eSIM entitlements.
6.3 Feedback
If you provide us with suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use the Feedback for any purpose without compensation or attribution to you.
7. Acceptable Use
7.1 User Representations
By using the Services, you represent and warrant that: (a) all registration and identity information you provide is true, accurate, current, and complete; (b) you will maintain the accuracy of such information; (c) you have the legal capacity to agree to these Terms; (d) you are not a minor in the jurisdiction in which you reside; (e) you will not access the Services through automated or non-human means, such as bots or scripts; (f) you will not use the Services for any illegal or unauthorized purpose; and (g) your use of the Services will comply with all applicable laws and regulations, including the laws of the country in which you use the Services.
7.2 Prohibited Activities
You agree not to, and not to permit any third party to:
use the Services in any way that violates applicable local, state, national, or international law or regulation, including telecommunications, export control, and sanctions laws;
resell, redistribute, sublicense, or commercially exploit the Services, eSIM profiles, Wallet, Paid Balance, Promotional Credit, or SAIMING Numbers without our written authorization;
use the Services for spamming, robocalling, autodialing, bulk or unsolicited messaging, telemarketing in violation of applicable law, caller-ID spoofing, or fraudulent, deceptive, or abusive communications;
use the Services contrary to the handset hotspot and prohibited router, IoT, resale and fixed-broadband replacement rules in Section 7.3;
use the Services to transmit viruses, malware, or other harmful code, or to interfere with the integrity or performance of the Services or any network;
attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services;
circumvent, disable, or interfere with security-related features, usage limits, fair-use policies, or geographic restrictions;
reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any SAIMING software or any part of the Services;
copy or adapt the Services' software or use any data-mining, scraping, or extraction tools;
upload or transmit content that is unlawful, obscene, defamatory, threatening, harassing, hateful, or that infringes the intellectual property, privacy, or other rights of any person;
impersonate any person or entity or misrepresent your affiliation with any person or entity;
use the Services in any manner that may expose SAIMING or its partners to regulatory action, penalties, or loss of network access; or
assist or encourage any third party to do any of the foregoing.
7.3 Fair Use
Personal hotspot sharing from a supported handset is permitted. The service is not offered for routers, automated IoT deployments, resale, SIM gateways or replacement of a fixed broadband connection. Fraudulent traffic, automated bulk traffic that harms the network, and unlawful or abusive use are prohibited. Ordinary use within a purchased allowance is not, by itself, abuse. Any plan-specific speed or fair-use restriction is disclosed before purchase. Proportionate network protection measures may be applied where reasonably necessary, with notice when practicable and with statutory remedies preserved.
7.4 Monitoring and Aggregated Data
We may monitor use of the Services to ensure compliance with these Terms, to operate and secure the network, and to comply with legal obligations. We may use data derived from your use of the Services in aggregated or de-identified form for statistics, analytics, network planning, product development, security, and service improvement, and we retain all rights in the results of such use, provided that such data does not identify you personally.
8. Additional Terms for SAIMING Numbers
8.1 Number Assignment and Ownership
SAIMING Numbers are assigned for use during a paid subscription; you do not acquire ownership of a number. The catalog covers 23 countries. U.S. numbers are local virtual numbers, not mobile SIM numbers; other catalog entries are mobile-number types subject to the relevant country and carrier rules. Voluntary number-porting functionality is not offered at launch. This does not restrict any statutory right to retain or port a number. Where such a right applies, SAIMING must provide the legally required process; a market requiring an unavailable process must not be offered. Regulatory reassignment may occur with reasonable notice where practicable.
8.2 Subscription, Lapse, and Reclamation
If a Number renewal fails, service is suspended and the number is reserved for thirty (30) days from the failed renewal. After that period it may be released and reassigned. Contact support about recovery after release; recovery is possible only while the number remains available and any carrier requirements can be satisfied, and is not guaranteed. A recovered number is subject to the subscription price then disclosed, with no separate SAIMING activation fee. Law or a regulator may require earlier withdrawal or reassignment.
Number purchases and number billing management are available only in the App. The App displays the applicable subscription prices and permitted capabilities before purchase.
8.3 Regulatory Requirements
Numbers in certain countries are subject to local address, residency, identity, or business-use requirements. You agree to provide any required information and to use the number only in accordance with the laws of the number's country and the country in which you use it. We may suspend or cancel a number if these requirements are not met.
8.4 No Emergency Services
SAIMING NUMBERS AND VOICE-OVER-INTERNET CALLING DO NOT SUPPORT EMERGENCY CALLS OR EMERGENCY-SERVICES ACCESS, INCLUDING 911 OR E911 IN THE UNITED STATES AND EMERGENCY NUMBERS SUCH AS 112, 999, 110, OR ANY LOCAL EQUIVALENT. SAIMING Numbers are not a replacement for a telephone service: U.S. numbers cannot place outbound calls to the public telephone network at all; outbound calling to the public telephone network is not available from within the United States on any SAIMING Number; and numbers for other countries support outbound calling only where SAIMING has confirmed that the number type may lawfully be offered without emergency-calling access in the number's country, as indicated before you subscribe. Outbound calling is not enabled on numbers for the United Kingdom or the European Economic Area unless and until such confirmation has been obtained. SAIMING cannot route an emergency call to a public-safety answering point, transmit your location to emergency responders, or guarantee access to emergency assistance through a SAIMING Number. You must maintain and use an alternative means of contacting emergency services, such as your device's native mobile service, a traditional landline, or another emergency-capable service, and you must not rely on a SAIMING Number or the App for emergency communications. You are responsible for informing anyone who may use your device or SAIMING Number of this limitation. Before you first subscribe to a SAIMING Number, you will be asked to acknowledge this limitation in the App.
8.5 Messaging
Messaging features may not support short codes, premium-rate numbers, every international route, or every type of application-to-person message. One-time passwords (OTPs), verification codes, and authentication messages depend on the sending institution, route and messaging provider. SAIMING does not guarantee that any bank, platform, website, or other third party will accept a virtual number or deliver an OTP to it. You are responsible for complying with applicable anti-spam, consent, telemarketing, and messaging laws when using calling and messaging features.
The following billing rules apply to App-only calling and SMS; these services are not purchased or operated on the Website. Call and SMS usage charges are in USD and include applicable taxes. Calls are charged in proportion to actual call duration at the applicable per-minute retail rate, with no minimum charge or minimum billed duration and no rounding up to a whole minute or other time increment. No separate Voice API or platform surcharge is added. Each SMS sent by you is billed as one message at the applicable retail rate; technical splitting into multiple segments does not create additional charges. Failed SMS messages are not charged. Any amount provisionally deducted for a failed SMS is returned to the original funding source. The applicable rate and permitted route are displayed before use in the App. These billing rules do not enable a route restricted under Section 8.4.
8.6 Call Records
We process call detail records and message metadata (such as numbers, timestamps, and duration) to provide, bill, and secure the Services, and as described in our Privacy Policy. We do not record call content unless you use a feature that expressly does so and you are responsible for obtaining any consents required by law from other parties to the call.
9. Third-Party Services and Links
Independent third-party websites and services linked from the Services have their own terms and privacy practices. References to third-party networks, processors or subcontractors do not exclude SAIMING responsibilities for the Services it contracts to provide or any mandatory consumer rights. A provider performing our contracted Services is not treated as an unrelated third party merely because we do not operate its network.
10. Service Management
We reserve the right, but not the obligation, to: (a) monitor the Services for violations of these Terms; (b) take appropriate legal action against anyone who violates the law or these Terms, including reporting such user to law enforcement authorities; (c) refuse, restrict access to, limit the availability of, or disable any of the Services or any feature where reasonably necessary for the purposes described in these Terms, including security, fraud prevention, compliance with legal, regulatory, or carrier requirements, protection of the network, or the grounds described in Section 12, with notice where reasonably practicable or required by law; (d) remove or disable content or files that are excessive in size or burdensome to our systems; (e) suspend or terminate Services to comply with legal, regulatory, or carrier requirements; and (f) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
11. Copyright Complaints
We respect the intellectual property rights of others. If you believe that material available through the Services infringes a copyright you own or control, please send a written notification to our copyright contact at cs@saiming.com (subject line: "Copyright Notice") or by mail to SAIMING INC., Attn: Legal Department – Copyright, 30 N Gould St Ste R, Sheridan, WY 82801, USA. Your notice must include the information required by 17 U.S.C. § 512(c)(3), including: (a) a physical or electronic signature of a person authorized to act on behalf of the copyright owner; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
If material you posted has been removed in response to a notice, you may submit a counter-notification in accordance with 17 U.S.C. § 512(g). We will terminate the accounts of users we determine to be repeat infringers. Please be aware that under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing, or was removed by mistake, may be liable for damages, including costs and attorneys' fees.
12. Term and Termination
These Terms remain in effect while you access, use, or subscribe to the Services. We may suspend, restrict, or terminate an account or Service where reasonably necessary because of a breach of these Terms, non-payment, fraud or abuse, security risk, unlawful activity, sanctions or export-control restrictions, carrier or regulatory requirements, loss of an underlying service capability, or material risk to SAIMING, our users, or our partners. We may also discontinue a Service for legitimate business reasons, subject to any notice or remedy required by applicable law.
If SAIMING terminates a prepaid Service or account without cause before the paid Service is delivered or consumed, we will refund the unused paid portion attributable to the terminated Service and provide any additional remedy required by law. Free Promotional Credit is not cash-refundable unless law requires otherwise. Termination for breach remains subject to proportionality and mandatory refund and redemption rights.
If your account is suspended or terminated for breach, fraud, abuse, or another disqualifying reason, you may not evade that action by creating another account using false, borrowed, or third-party information. You may close your account through the available account settings, the Account & Data Deletion page at saiming.com/account-deletion, or by contacting cs@saiming.com. Voluntary account closure does not entitle you to cash redemption or refund of unused Paid Balance or Promotional Credit except where required by law. Closing the account may end access to associated plans and SAIMING Numbers. Deleting an eSIM profile from a device does not itself close your account or cancel a recurring subscription. After we verify your identity and you confirm account deletion, SAIMING stops future renewals and Auto-Reload charges that SAIMING manages through Stripe before completing deletion. Amounts already paid remain subject to our Refund Policy and applicable law. We confirm the billing cancellation and account-closure outcome and explain any information that remains, including the SMS-content deletion and backup safeguards in Privacy Policy Section 6. We also stop queued and retry attempts that would create future charges.
Sections that by their nature should survive termination shall survive, including Sections 4, 6, 7.4, 13 through 18, and 20.
Account deletion does not require spending your balance first. Before confirmation, you may request support to explain applicable refund, cash-redemption or unclaimed-property treatment of Paid Balance and any refundable credit. Account closure does not extinguish those statutory rights. Free Promotional Credit, paid value and refund credit are treated separately.
13. Disclaimers
Services must conform to their description and any mandatory standards of quality, reasonable care and skill. Coverage and performance may vary with location, device and network conditions. To the extent permitted by law, no additional warranty of uninterrupted or error-free operation is given. These qualifications do not exclude SAIMING responsibility for the Services it contracts to supply, inaccurate pre-purchase information, or the acts of providers performing those Services. Mandatory remedies and Section 14 remain unaffected.
We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Services or any linked website or application. Network coverage, speed, and quality are provided by third-party operators and may vary by location, device, time, and network conditions.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SAIMING AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, CONNECTIVITY PARTNERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS EXCLUSION DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.
TO THE FULLEST EXTENT PERMITTED BY LAW, SAIMING'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SAIMING FOR THE SERVICES DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100. THIS IS AN AGGREGATE, NOT PER-INCIDENT, CAP. Nothing in these Terms limits rights or remedies that cannot be limited by contract under applicable law.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability or consumer remedy that cannot lawfully be excluded or limited. Mandatory refunds, price reductions and other non-excludable remedies are not subject to the liability cap above.
15. Indemnification
To the extent permitted by applicable law, you are responsible for reasonable, evidenced third-party losses directly caused by your culpable unlawful conduct or material breach of these Terms. This does not cover losses caused by SAIMING or its providers, or impose liability merely for using the Services. SAIMING must promptly notify you, take reasonable steps to mitigate loss and allow you to participate in the defence. No settlement imposing an admission or obligation on you may be made without your consent, which must not be unreasonably withheld. Mandatory consumer protections prevail.
SAIMING INC., a Wyoming corporation in the United States, is the sole SAIMING contracting entity. References to protections in other jurisdictions concern applicable customer rights and do not identify another SAIMING company.
16. Governing Law, Dispute Resolution, and Arbitration
16.1 Governing Law
These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, applicable to agreements made and to be entirely performed within the State of Wyoming, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply to these Terms. This choice of law does not deprive consumers of mandatory protections of the law of their habitual residence. Arbitration, venue, time-limit, waiver and liability provisions apply only to the extent enforceable under applicable law; non-waivable rights to a local court or regulator are preserved.
16.2 Informal Resolution
Please notify SAIMING of a dispute at cs@saiming.com or by post to SAIMING INC., 30 N Gould St Ste R, Sheridan, WY 82801, USA, with your account identifier, the issue and requested remedy. We will try to resolve it within thirty (30) days. This process does not prevent a timely court filing, urgent relief, small claims proceedings or contacting a regulator, and must not cause a claim to become time-barred. To the extent permitted by law, applicable limitation periods are paused during this informal process.
16.3 Binding Arbitration
For U.S. consumers only, and subject to Sections 16.4 through 16.10 and mandatory law, disputes relating to these Terms or the Services are to be resolved by individual arbitration. Outside the United States, this clause does not require consumer arbitration or waive access to a competent consumer court. For covered arbitration, the parties waive a court and jury determination only to the extent legally permitted.
The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (the "AAA Rules") then in effect, as modified by these Terms. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this Section 16.
The arbitration will be conducted in the county of your residence or billing address, unless you and SAIMING agree otherwise. For claims of ten thousand U.S. dollars (USD 10,000) or less that do not seek injunctive relief, you may choose whether the arbitration will be conducted (a) solely on the basis of documents submitted to the arbitrator, (b) through a telephonic or video hearing, or (c) by an in-person hearing as established by the AAA Rules in the county of your residence. Payment of filing, administration, and arbitrator fees will be governed by the AAA Rules; if you are unable to pay your share of the fees, SAIMING will pay them on your behalf where required by the AAA Rules.
The arbitrator may award any relief that would be available in a court of competent jurisdiction, but only on an individual basis. The arbitrator must issue a reasoned written decision explaining the essential findings and conclusions on which the award is based. The arbitrator's award is final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Any settlement offer made by either party will not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you or SAIMING is entitled.
16.4 Exceptions to Arbitration
Either party may use a competent small claims court. Nothing prevents a complaint to a regulator, legally protected public injunctive relief, urgent provisional relief or a claim that applicable law requires a court to decide. Statutory consumer forum rights, including those of consumers in the EU and UK, are preserved. Section 16.8 does not override these exceptions.
16.5 Class Action and Jury Trial Waiver
For claims validly subject to arbitration, proceedings are individual to the extent permitted by law. This waiver does not apply after a valid arbitration opt-out or to non-waivable representative or public injunctive relief. If the waiver is unenforceable for a particular claim, that claim proceeds in a competent court; remaining arbitrable claims may proceed individually. Section 16.10 governs severability.
16.6 Thirty-Day Right to Opt Out
You may opt out of this arbitration agreement by sending written notice of your decision to opt out within thirty (30) days after you first accept these Terms, by certified U.S. mail or nationally recognized courier to SAIMING INC., Attn: Legal Department – Arbitration Opt-Out, 30 N Gould St Ste R, Sheridan, WY 82801, USA, or by email to cs@saiming.com with the subject line "Arbitration Opt-Out." Your notice must include your full legal name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor SAIMING will be bound by the arbitration provisions of this Section 16, and the class-action and jury waivers in this Section will not apply. Other enforceable Terms remain applicable, subject to mandatory forum rights.
16.7 Changes to this Section
You may reject a material change to this Section within thirty (30) days of notice using the methods in Section 16.6. The previous valid dispute terms continue to apply. Rejection alone does not terminate your account or forfeit prepaid amounts. Any separate lawful service termination remains subject to Section 12 and mandatory remedies.
16.8 Exclusive Venue for Litigation
Subject to mandatory consumer forum rights and the exceptions in Section 16.4, disputes not subject to arbitration may be brought in a competent state or federal court in Wyoming. This does not remove a lawful local or small claims forum or impose a separate jury waiver after arbitration opt-out.
16.9 Time Limit on Claims
Applicable statutory limitation periods govern claims. These Terms do not impose a shorter one-year filing limit. Section 16.2 does not prevent protective filings or restrict any mandatory rule on suspension or extension of time.
16.10 Severability of Arbitration Terms
An unenforceable provision is severed only to the extent permitted by law. A claim that cannot validly be arbitrated proceeds in a competent court under Sections 16.4 and 16.8. If the remaining arbitration agreement cannot lawfully operate, it does not apply; this does not revive a waived provision or restrict statutory remedies.
17. Electronic Communications, Transactions, and Signatures
You agree to electronic delivery of contracts, receipts and notices to your account contact address, to the extent permitted by law. Purchase confirmations are sent promptly from info@saiming.com and include the applicable terms and consent record so you can retain them. Nothing in this clause waives mandatory information, durable-medium, signature or payment rights.
We may send you service-related communications (such as purchase confirmations, low-balance alerts, and security notices) that are necessary to provide the Services; you cannot opt out of these while you maintain an account. We may also send marketing communications about our products, services, and promotions and those of our partners; you can unsubscribe at any time by following the instructions in the message or by contacting cs@saiming.com.
18. Export Controls and Sanctions
The Services, including SAIMING software and eSIM technology, may be subject to U.S. export control and economic sanctions laws. You represent that you are not located in, and will not use the Services in, any country or region subject to comprehensive U.S. sanctions, and that you are not a person or entity on any U.S. government restricted-party list. You agree to comply with all applicable export and sanctions laws in connection with your use of the Services.
19. Notices
We may give you notice by email to the address associated with your account, through an account or service notification, or by posting on the Website. Notices to us must be sent to SAIMING INC., 30 N Gould St Ste R, Sheridan, WY 82801, USA, or to cs@saiming.com, except where a different method is specified in Section 16.
20. Miscellaneous
These Terms, together with any policies or supplemental terms posted by us on the Website or otherwise presented for the applicable Service (including plan-specific terms and campaign terms), constitute the entire agreement between you and SAIMING with respect to the Services. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. These Terms operate to the fullest extent permissible by law. We may transfer our rights and obligations only where your contractual rights and mandatory protections are preserved, with any notice required by law. You may transfer your rights where permitted by applicable law or with our consent, which will not be unreasonably withheld. Events beyond reasonable control may affect performance. We must take reasonable steps to mitigate their effects and provide notice and any mandatory remedy. A network-provider failure does not automatically remove our responsibility for contracted Services. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part is deemed severable and does not affect the validity and enforceability of the remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and SAIMING as a result of these Terms or your use of the Services. Headings are for convenience only.
